1. Agreement to Terms
By accessing or using SwiftAttend ("the Service"), developed by Riwa Software Labs, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, then you may not access the Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, employees, and/or contributors of content.
2. Description of Service
SwiftAttend is an attendance tracking platform that enables businesses to manage employee attendance, track work hours, and generate attendance reports. The Service includes:
- Employee attendance tracking and management
- Location-based attendance verification
- Attendance reports and analytics
- Employee credential management
- Company and location management features
3. User Accounts
3.1 Account Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Immediately notify us of any unauthorized use of your account
- Ensure that you exit from your account at the end of each session
- Use a strong password and keep it confidential
- Not share your account credentials with others
3.3 Account Types
The Service supports different account types:
- Manager/Employer Accounts: Full access to manage employees, locations, and view reports
- Employee Accounts: Limited access to mark attendance and view personal records
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit any harmful, offensive, or illegal content
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use automated systems to access the Service without authorization
- Impersonate any person or entity
- Collect or store personal data about other users without authorization
- Use the Service for any fraudulent or deceptive purpose
5. Attendance Data and Accuracy
You are responsible for ensuring the accuracy of attendance data entered into the Service. While SwiftAttend provides tools to track attendance, you acknowledge that:
- Attendance records are based on data provided by users
- Location data may have inherent inaccuracies
- You should verify critical attendance information independently
- We are not responsible for errors in attendance data caused by user error or technical issues
6. Intellectual Property Rights
The Service and its original content, features, and functionality are owned by Riwa Software Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without prior written consent from Riwa Software Labs.
7. User Content
You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.
You represent and warrant that you have all rights necessary to grant the license described above and that your User Content does not violate any third-party rights.
8. Privacy
Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.
9. Payment Terms
If you purchase a subscription or other paid features:
- You agree to pay all fees associated with your account
- Fees are billed in advance on a recurring basis
- All fees are non-refundable unless otherwise stated
- We reserve the right to change our pricing with reasonable notice
- Failure to pay may result in suspension or termination of your account
10. Service Availability
We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to:
- Scheduled maintenance
- Technical issues or failures
- Force majeure events
- Other circumstances beyond our control
We are not liable for any loss or damage resulting from Service unavailability.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIWA SOFTWARE LABS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Riwa Software Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or violation of these Terms.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements.
